On September 12 (twelve), 2023 (two thousand twenty-three), the Economy and Legislative Studies Commission of the Senate approved a draft decree amending several articles of the General Law of Mercantile Corporations (the "Law"), the purpose of which is as follows:
a. Grants full validity to the use of telematic means to carry out the Meetings of Partners or Shareholders, as well as of the Administrative and Supervisory Bodies of the mercantile companies, as long as it is stipulated in the bylaws.
b. Gives the possibility for the Meetings to be held outside the corporate domicile by technological means, as long as it is stipulated in the bylaws.
c. Likewise, it allows that the notices for General Meetings may be made available to the shareholders through the technological means designated in the bylaws.
